Heartland Food Products Group, the owner and manufacturer of Splenda, SlimFast, and Java House, has entered into a definitive agreement to acquire the Americas business of Whole Earth Brands, Inc. The transaction includes several of the most prominent brands in the low- and no-calorie sweetener market, such as Equal, Whole Earth, Swerve, and Chuker, spanning both North America and Latin America.

This acquisition represents a major consolidation within the global sugar-reduction and functional food sectors. By bringing these highly recognised legacy and natural sweetener brands under one corporate umbrella, Heartland significantly expands its market share and diversified portfolio. The combined entity will serve a wide array of channels, including traditional retail, tabletop, foodservice, commercial beverages, and business-to-business ingredient solutions.

Operational and Integration

From an operational standpoint, the acquisition allows Heartland to leverage its existing vertically integrated manufacturing network and advanced research and development capabilities. Since acquiring the Splenda brand in 2015, Heartland has successfully transitioned the business from a single-product tabletop brand into a broader health and wellness platform encompassing creamers, liquid enhancers, and nutritional beverages.

Integrating the Whole Earth Brands portfolio into this established pipeline is expected to yield several key operational advantages:

  • Manufacturing Scale: Heartland can absorb production volumes into its existing domestic manufacturing facilities, improving capacity utilisation and reducing unit production costs.

  • Distribution Efficiency: The combined brand portfolio provides Heartland with greater bargaining power and streamlined logistics when dealing with major retail partners, foodservice distributors, and e-commerce platforms.

  • Portfolio Diversification: Adding Swerve, a popular erythritol-based baking sweetener, and Whole Earth, a plant-based sweetener line, allows Heartland to capture distinct consumer segments that may prefer natural alternatives to sucralose-based products.

According to Ted Gelov, Chairman and Chief Executive Officer of Heartland Food Products Group, the acquisition serves as a key milestone in the company's mission to facilitate sugar reduction. Gelov noted that combining Equal’s historic brand equity with Whole Earth’s strong positioning in plant-based solutions creates a highly competitive platform to lead future category innovation.

Beyond immediate brand acquisition, the transaction is expected to accelerate Heartland’s strategic investments in agricultural supply chains and next-generation ingredient technologies.

A central component of this strategy is Heartland’s pioneering initiatives in US-grown stevia. Stevia has increasingly become the natural sweetener of choice for food and beverage manufacturers looking to reformulate products for sugar-conscious consumers. However, securing a stable, high-quality, and ethically sourced supply of stevia glycosides remains a challenge, as much of the global crop is currently imported.

The financial terms of the transaction have not been disclosed.
