McCormick & Company

Global flavour leader McCormick & Company has outlined its future operating model, senior executive team, and secondary stock listing plans ahead of its proposed combination with Unilever's Foods division.

Scheduled for completion by mid-2027, the combined entity will reorganise into four core commercial divisions representing a combined annual sales footprint of US $21.5 billion based on 2025 figures. Alongside maintaining its primary listing on the New York Stock Exchange (NYSE) and global headquarters in Hunt Valley, Maryland, McCormick intends to seek a secondary listing on the London Stock Exchange (LSE) to support its international shareholder base.

Four Commercial Divisions

To streamline operations and align consumer and foodservice categories, the combined business will operate across four dedicated commercial segments upon transaction closing:

🌎 Americas Consumer: Representing $8 billion in 2025 annual sales, overseeing retail herbs, spices, seasonings, condiments, and sauces across North, Central, and South America.

🌍 International Consumer: Representing $7 billion in 2025 annual sales, managing retail consumer channels across Europe, the Middle East, Africa (EMEA), and Asia-Pacific (APAC).

🍽️ Global Food Service: Generating $4 billion in 2025 annual sales, unifying Unilever's back-of-house culinary channels with McCormick's front-of-house brand presence across restaurant and away-from-home channels.

🔬 Global Flavour: Accounting for $2.5 billion in 2025 annual sales, delivering custom flavour formulations, seasonings, and coatings to food manufacturers, beverage brands, and foodservice operators.

The commercial divisions will be supported by an Integration Management Office (IMO) overseeing transition services agreements (TSAs) expected to run for up to 24 months post-closing. McCormick plans to disclose additional details regarding anticipated cost and revenue synergies by the end of the third quarter.

Executive Leadership Team

The leadership structure combines executive talent from both organisation backgrounds. Brendan Foley will continue as Chairman, President, and Chief Executive Officer, alongside Marcos Gabriel as Executive Vice President and Chief Financial Officer.

The division presidents and functional executive vice presidents will comprise:

Americas Consumer: Andrew Foust, EVP and President

International Consumer: Heiko Schipper, EVP and President

Global Food Service: Nuria Hernandez, EVP and President

Global Flavour: Suzanne Roy, EVP and President

Growth and Global Marketing: Tabata Gomez, EVP and Chief Growth & Global Marketing Officer

Supply Chain: Jennifer Han, EVP and Chief Supply Chain Officer

Information and Digital: Guy Peri, EVP and Chief Information & Digital Officer

Human Resources: Sarah Piper, EVP and Chief Human Resources Officer

Legal: Jeff Schwartz, EVP and Chief Legal Officer

Research and Development: Heike Steiling, EVP and Chief R&D Officer

Leadership teams will operate across the global headquarters in Hunt Valley, Maryland, and an International Headquarters in the Netherlands, which will leverage existing research and development facilities established by Unilever Foods.

International Footprint

The decision to pursue a secondary listing on the London Stock Exchange is intended to broaden capital liquidity and accommodate European institutional investors following the integration of Unilever’s food assets.

Brendan Foley, Chairman, President, and Chief Executive Officer of McCormick, stated that the secondary LSE listing, alongside the Netherlands R&D hub and Maryland headquarters, reflects the expanded international scale of the combined enterprise as integration planning progresses toward completion in mid-2027.
