The Carlsberg Group has reached an agreement with Sapporo Breweries to establish a major strategic joint venture across Southeast Asia and Hong Kong, alongside a production and distribution partnership in the UK. The transaction expands on an existing distribution arrangement between the two brewers that began in 2024.
The addition of Sapporo Premium Beer is intended to strengthen Carlsberg’s premium brand portfolio by introducing a product with established Japanese provenance.
Jacob Aarup-Andersen, CEO of the Carlsberg Group, stated that the partnership allows the company to accelerate its growth ambitions in key Asian markets by combining Sapporo's brand with Carlsberg's local distribution networks, whilst initiating a new cooperation in the UK.
Hiroshi Tokimatsu, CEO of Sapporo Breweries, added that the alliance is a key milestone in Sapporo's international business strategy, designed to support sustainable growth and deliver premium experiences to global consumers by utilising Carlsberg's operational platform in Asia and Europe.
Joint Venture Structure and Financial Terms
Under the terms of the agreement, Carlsberg will hold a 75% majority stake in the joint venture and will retain full operational control across the designated territories. Sapporo will acquire the remaining 25% stake.
As part of the transaction, Carlsberg will receive a cash consideration of USD 643 million from Sapporo. This valuation represents a 2025 EBIT multiple of 21.3x. Carlsberg has indicated that it plans to utilise the cash proceeds to repay outstanding debt and for general corporate purposes.
The completion of the transaction remains subject to customary closing conditions and required regulatory approvals.
Regional Scope and Production Rights
The joint venture will integrate Carlsberg's established operations in Malaysia, Hong Kong, Singapore, Laos, Vietnam, and Cambodia.
Through this agreement, the joint venture secures perpetual, exclusive rights to produce and distribute Sapporo Premium Beer across these specific regional markets. The integration is intended to leverage Carlsberg's existing route-to-market capabilities and regional infrastructure to scale the presence of the Japanese brand.
UK and Myanmar Licensing Agreements
Beyond the Asian joint venture, the strategic partnership extends to Europe and other Asian territories through long-term licensing agreements.
Sapporo will grant Carlsberg the licence to produce and distribute Sapporo Premium Beer in both the UK and Myanmar. Additionally, both companies plan to investigate opportunities to introduce the Sapporo brand into further European and Asian markets in the future.
