Associated British Foods plc (ABF) has completed its acquisition of Hovis Group Limited from private equity investor Endless LLP, initiating a major consolidation of the UK bread and bakery sector.


The transaction will see Hovis Group merge with Allied Bakeries, ABF’s existing UK bakery division, to establish a newly unified business operating under the name Hovis Bakeries. The newly combined entity will adopt the brand line "Nourishing the Nation".



Integration

The integration of the two businesses is scheduled to begin shortly. According to corporate statements, the merger is expected to yield substantial operational synergies and efficiencies across both production facilities and logistics networks.


The restructuring process required to achieve these efficiencies will involve upfront capital costs. As a consequence, ABF management expects the transaction to be marginally dilutive to the group's earnings in the financial year 2027, before becoming accretive in subsequent financial periods.


George Weston, Chief Executive of ABF, stated that the completion of the transaction represents a significant step towards delivering a profitable UK bread business. Weston noted that combining the scale and capabilities of both divisions, alongside targeted investment, will allow the business to return to growth and serve commercial customers more effectively.


Growth and Market Positioning

Hovis Bakeries plans to focus investments on high-growth segments of the UK bakery category, particularly products aligned with evolving consumer health preferences and dietary requirements.


The business has outlined several primary strategic goals for the consolidated division:


🍞 Product Innovation: Developing new products to capture shifting consumer tastes, specifically targeting the expanding health and wellness segments.


🏷️ Own-Label Partnerships: Strengthening capabilities to act as a primary private-label bakery partner for major UK retailers.


🚛 Logistics Optimisation: Leveraging a combined, unique direct-to-store distribution network to streamline route-to-market execution.



Sarah Arrowsmith, Chief Executive of Hovis Bakeries, emphasised that the merger presents an opportunity to build a resilient and competitive UK bakery business. Arrowsmith highlighted that the immediate priority will be brand revitalisation through innovation and capitalising on their joint direct-to-store distribution network.
