Varun Beverages Limited (VBL), through its wholly-owned subsidiary VBL Industries (Kenya) Limited, has entered into a business transfer agreement to acquire the beverage portfolio of Devyani Food Industries (Kenya) Limited (DFIL Kenya).


The transaction is valued at USD 32 million (approximately INR 3,050 million, calculated at an exchange rate of 1 USD to 95.30 INR). The acquisition comprises the purchase of DFIL Kenya’s value-added dairy beverages, juices, and packaged drinking water businesses, along with all associated assets, as a going concern.


The transaction is expected to be completed on or before 1 August 2026, subject to regulatory approvals.



Objectives and Regional Integration

The acquisition marks a direct entry point for Varun Beverages into the Kenyan market. By absorbing DFIL Kenya's operations, the company aims to deepen its market penetration within Kenya and establish a broader operational footprint across the wider East African region.


Administratively, the transaction is classified as a related-party transaction because DFIL Kenya is a promoter group company of VBL. However, corporate disclosures confirm that the agreement has been executed on an arm's-length basis.


VBL Kenya has also confirmed that it is actively preparing to launch a carbonated soft drinks range from the newly acquired asset base, leveraging the facility's existing capacity to diversify its regional product offering.



Production Infrastructure and Nakuru Facility

The transaction includes the acquisition of a production plant located in Nakuru, Kenya. Situated on a national highway, the manufacturing facility provides VBL with a highly strategic logistical position for domestic and cross-border distribution.


Key operational specifications of the acquired infrastructure include:


  • Site Scale: A 52-acre land parcel featuring a built-up manufacturing area of 17,500 square metres.


  • On-Site Utilities: Fully operational industrial utilities, including a reverse osmosis (RO) water treatment plant, boiler systems, an effluent treatment plant, diesel generator sets, and industrial air compressors.


  • Industry Accreditations: The facility holds official quality and safety certifications from international bodies, including Food Safety System Certification.



Acquired Beverage Portfolio

The acquisition introduces several key product categories to VBL's regional business unit:


  • Value-Added Dairy Beverages: Formulated dairy drinks designed for retail and convenience channels.


  • Juices: Fruit juices and nectar products designed for regional consumer preferences.


  • Packaged Drinking Water: Purified bottled water lines packaged for transport and immediate consumption.


The combined assets will be integrated into VBL's existing global supply chain networks to improve distribution efficiency across East Africa.
