Umios Corporation has entered into a definitive agreement to acquire Canadian value-added seafood processor High Liner Foods in an all-cash transaction valuing the company's equity at approximately CAD 804 million.

Under the terms of the court-approved plan of arrangement, Umios will acquire all outstanding common shares of High Liner Foods for CAD 27.00 per share in cash. The transaction unites Umios' upstream marine harvesting rights and global sourcing platform with High Liner Foods' value-added processing footprint, consumer brand portfolio, and retail and foodservice distribution channels across the United States and Canada.

The acquisition marks a major step in Umios' corporate strategy to establish a vertically integrated, consumer-driven value chain in North America, connecting wild-caught marine protein resources directly with finished consumer retail and foodservice channels.

"Combining with High Liner Foods will fundamentally transform Umios," said Masaru Ikemi, Representative Director, Chairman and Chief Executive Officer of Umios.

"By pairing our longstanding leading position in major upstream seafood markets in Alaska with High Liner Foods' iconic consumer brands, value-added processing capabilities and extensive downstream channels, we expect to create a complete, vertically integrated value cycle in North America and drive Umios' sustainable, long-term growth."

Vertical Integration and North American Scale

Umios operates as one of the world's largest seafood and marine-protein enterprises, generating annual net sales of approximately ¥1.1 trillion across Japan, North America, Europe, and Asia-Oceania.

Through its North American Operations Unit, Umios controls significant Bering Sea fishing access, including roughly 26% of Alaska pollock resources, alongside commercial quotas for cod and crab, while maintaining a primary market position in value-added surimi-based products.

Acquiring High Liner Foods enables the Japanese group to capture integrated margins down the value chain:

Downstream Processing Integration: Extends Umios' foundational surimi manufacturing footprint into battered, breaded, and unbreaded pollock fillets, speciality finfish, and prepared seafood formats.

Commercial Channel Penetration: Secures direct access to High Liner Foods' entrenched customer base across North American foodservice distributors, quick-service operators, healthcare providers, and major supermarket multiples.

Upstream Volume Monetisation: Creates an integrated processing pipeline for Umios' wild Alaska pollock and whitefish catch, shielding raw-material margins from wholesale commodity auction volatility.

"We know Umios through a longstanding commercial relationship, and Umios knows the value of our expertise, brands and customer relationships," noted Paul Jewer, President and Chief Executive Officer of High Liner Foods. "Joining a global seafood leader gives us the scale, sourcing capabilities and investment capacity to pursue our ambitions in an industry poised for growth."

Brand Heritage and Corporate Continuity

Founded in 1899 in Lunenburg, Nova Scotia, High Liner Foods has operated for more than 125 years as an anchor of Atlantic Canada’s commercial fishing and processing sector.

The business expanded its presence across US retail freezers through its 2025 acquisition of the Mrs. Paul's and Van de Kamp's trademarks, consolidating leading frozen prepared seafood labels under a single operating banner.

Following completion of the transaction, Umios confirmed it will establish High Liner Foods as its primary operational platform for North American expansion. The group pledged to retain High Liner Foods' corporate headquarters in Lunenburg, Nova Scotia, preserve its management structure and workforce, and inject further capital expenditure into its regional processing facilities and product development pipelines.

"We deeply value their long-standing legacy and are committed to preserving the heritage of this historic Nova Scotian and Atlantic Canadian business," stated Daisuke Yasuda, Representative Director, President and Chief Operating Officer of Umios. "Together with High Liner Foods' employees and local communities, we will build a strong foundation for continued growth."

Transaction and Approvals

The transaction will be completed via a statutory plan of arrangement under the Companies Act of Nova Scotia.

The acquisition is subject to approval by at least 75% of the votes cast by High Liner Foods shareholders at a special meeting, regulatory clearance under Canada's Competition Act, antitrust review under the US Hart-Scott-Rodino Act, and customary court approvals:

Shareholder Support: Shareholders representing roughly 45.4% of High Liner Foods' outstanding shares—including key institutional backer Thornridge Holdings Limited, alongside all executive directors and officers—have signed formal voting support agreements.

Board Recommendation: Acting upon the unanimous recommendation of an independent Special Committee, High Liner Foods' Board of Directors has unanimously approved the deal and recommended that shareholders vote in favour.

Financing and Closing Timeline: Umios will fund the equity purchase price using cash on hand and existing interest-bearing debt facilities.

The transaction is expected to close in January 2027, corresponding with the fourth quarter of Umios' fiscal year ending March 2027, subject to the receipt of required regulatory and judicial clearances.
