Uber Technologies has entered into a definitive agreement to acquire business catering marketplace ezCater in an all-cash transaction valued at $2.3 billion.


The transaction integrates the leading US provider of corporate catering and workplace dining into Uber's delivery ecosystem. The acquisition connects ezCater’s nationwide network of more than 140,000 restaurant partners with the consumer reach of Uber Eats and the enterprise client relationships of Uber for Business.


The deal positions Uber to capture corporate food budgets and scheduled group meal expenditure, expanding its delivery operations into high-value B2B catering orders.



Financial Profile and Operating Performance

Headquartered in Boston, Massachusetts, ezCater provides digital ordering tools, spend management software, and 24/7 customer support for corporate meetings, company events, and recurring employee meal programmes.


The platform generated more than $2.5 billion in gross bookings over the trailing 12 months, registering year-on-year growth in the high teens. Operating as a profitable enterprise on a non-GAAP operating income basis, ezCater is projected to be margin accretive to Uber’s overall delivery segment.


Crucially for platform economics, ezCater commands an average order value (AOV) exceeding $400. This substantially surpasses standard single-consumer meal delivery baskets, offering greater operating leverage per dispatched run.

Enterprise Integration with Uber Eats and Uber for Business

The combination leverages existing corporate commercial agreements managed by Uber for Business, which currently provides enterprise clients with ground transport management and corporate meal stipends.


By absorbing ezCater's food-spend administration software, corporate clients will be able to centralise business catering, office deliveries, and employee meal programmes under unified invoicing and expense workflows.


For restaurant partners, the combined platform provides access to high-volume corporate food orders that typically run outside peak consumer dining windows, generating midday kitchen throughput before evening trading periods. Furthermore, couriers operating on the Uber Eats network will receive expanded earning opportunities servicing scheduled, multi-portion catering drops.



Implications for Food Delivery

The acquisition marks a major structural move by an on-demand delivery aggregator to capture scheduled, high-margin commercial food spend.


While standard on-demand food delivery models rely heavily on discretionary consumer spending, workplace catering operates with predictable weekday volumes, high customer retention rates, and corporate balance sheet funding.


The integration of ezCater’s 140,000-strong restaurant roster provides Uber with an established national supply spine across regional and independent commercial food operators without the lead time required to build bespoke corporate catering merchant agreements from scratch.



Timeline and Regulatory Conditions

The transaction is expected to conclude in the coming months, subject to standard regulatory clearances and customary closing conditions.


Upon completion, ezCater will transition into Uber’s delivery division, with further technical and product integration details expected as corporate systems align across Uber Eats and Uber for Business.
